Abstract

iTelligence AG, a German company (SAP provider and consulting) is seeking to expand geographically following a horizontal expansion strategy. iTelligence AG has contacted Adelante SAS, a French company in the same sector. The case leads the students through a process of company valuation through future earn-outs using elements from a business plan and a financial analysis combined with a strategic and sectorial analysis. They will apply both the multiple method and the DCF method and perform a sensitivity analysis. They will identify risks and how contract clauses can hedge some of these risks. They will ultimately realize that the valuation is subjective and biased partly because of behavioural aspects of both parties.
