Abstract
This is the second of a two-case series (IMD-3-0950 and IMD-3-0951). Freymont decided to leave Nova to join over-the-counter listed (OTC- listed) Swisscable SA as its new chief executive officer and president. He got more than 5% of the voting rights, making him the second largest of the company''s owners in terms of votes. The question in the case is whether Nova could or should have done more to have kept one of its best and brightest people?
