Abstract

On November 9th 2023, Tata Electronics Private Limited (TEPL) had signed a binding share purchase agreement with SMS InfoComm (Singapore) and Wistron Hong Kong Limited. As part of the agreement, the Tata Group would pay USD125 million for acquiring 100% equity stake for Wistron Infocomm Manufacturing (India) Private Limited's (Wistron India) assembly lines. This would enable the Tata Group to join the supply chain of Apple as the assembler of iPhones. Post the acquisition of Wistron India, the Tata Group could start end-to-end assembling of Apple's iPhones in the country and become the first Indian company to join other major global suppliers of Apple, namely, Foxconn and Pegatron. Wistron was the second largest exporter of iPhones from India, after Foxconn and in FY2023, Wistron also accounted for 36% of iPhone exports from India. However, cost of some components resulting in an increase in the production cost, labour law changes to accommodate big factories, frequent tax changes, etc, were some of the bottlenecks which were likely to be faced by TEPL post the acquisition. Given this scenario, can the Tata-Wistron deal prove to be a win-win deal for both Apple and the Tata Group?
