Abstract
This case examines the proposed acquisition of United States Steel (US Steel) by Nippon Steel (NSC), Japan's largest steelmaker. The US Steel board voted to accept the NSC offer, arguing that the acquisition was good for the company, its workers, and US national security. The United Steelworkers Union (USW) was opposed to the deal, citing national security concerns, job concerns, and calling for government intervention. Because the acquisition involved a foreign company, the deal was subject to review by the Committee on Foreign Investment in the United States (CFIUS).
