Abstract

Set in early 1996, this case explains the background to, and identifies the different participants in, a large commercial real estate development in Hong Kong, ie, the Hong Kong station development project. It provides hints about the conflicting interests and objectives of the joint venture participants and highlights the risks inherent in the venture. The purpose is to show that some participants can profit at the expense of other participants. This case was written from the perspective of Henderson Land, the principal joint venture partner of the project, but in essence each partner is at risk and needs to consider safeguards to its position. To safeguard its interests and to minimise its risks, Henderson Land had to design the project delivery vehicle carefully, and had to consider that its partners would also be concerned about incentive conflicts that might erode their interests.
