Abstract
This case describes the corporate structure of US-based Merck during the period 1999-2000. Merck is the No 1 healthcare and pharmaceutical firm with global sales of $32.7billion. Operations are segmented into Merck Pharmaceutical (pharmaceuticals) and Merck-Medco, LLC (managed care). The case provides an overview of corporate governance, including a description of the executive committees, their roles and responsibilities, remuneration, and accountability/audit. One of two cases drawn from public information sources. May be used alone or with the case ''AstraZeneca PLC: Corporate Governance at a Pharmaceutical Company'' (302-061-1). Suitable for graduate MBA and executive level courses in strategy, corporate strategy, and also corporate governance and corporate structure in the pharmaceutical industry.
