Abstract
This case describes the corporate structure of UK-based AstraZeneca during the period 1999-2000. The case provides an overview of the newly formed company after the April 1999 merger of Astra AB and Zeneca Group PLC, with discussion of the merger and of corporate structure following integration. The case looks at corporate governance, including a description of the executive committees, their roles and responsibilities, remuneration, and accountability/audit. It is one of two cases drawn from public information sources, and may be used alone or with the case ''Merck & Co, Inc: Corporate Governance at a Pharmaceutical Company'' (302-060-1). Suitable for graduate MBA and executive level courses in strategy, corporate strategy, and also corporate governance and corporate structure in the pharmaceutical industry.
