Abstract
The case study describes a fictional (but typical) conflict of interest at board level. The chairman of the board has to deal with a board member who wants - on top of his salary as a board member - to be compensated for consultancy work that will help the company to gain access to a future key market. The board member has also the power to significantly hinder market access if his request is declined.
