Abstract

The case describes a small family-owned Mexican company that has maintained itself without major problems in the market for 21 years, distributing, among other things, paint and construction materials. In recent times, Alfredo Amaya, the present Manager, is thinking of an administrative restructuring in order to take the company to up to date standards and to keep it working correctly. He proposes the implementation of a corporate government, which the supporting staff, his mother and aunt, is doubtful about. This case exemplifies the dilemma of the implementation of a corporate government in small businesses. Will it help them manage their operations better and achieve growth or not, and thus leaving corporate governments to larger businesses?
